Important Statutory Notice: Buyer’s Right to Cancel
(Required pursuant to Utah Code Ann. § 70C-5-102, Utah Code Ann. § 13-11-4(2)(m), and Utah Admin. Code R152-11-9)
YOU, THE BUYER, MAY CANCEL THIS CONTRACT AT ANY TIME PRIOR TO MIDNIGHT OF THE THIRD BUSINESS DAY AFTER THE DATE OF THIS TRANSACTION, EXCLUDING SUNDAYS AND HOLIDAYS.

1. Binding Agreement & Parties
This Master Service Agreement and Terms and Conditions (“Agreement”) constitutes a legally binding agreement between Vexa Pest Control (“Vexa,” operated by Mike Moore LLC) and you, the Customer.
By scheduling a service, authorizing recurring billing, checking an agreement box on our website or at checkout, or allowing Vexa to perform service at your property, you agree to be bound by this Agreement.
2. Service Plans & Scope of Work
Vexa provides professional pest inspection, prevention, and treatment services as specified in your selected plan.
A. Home Protection Plan (Exterior-Only)
- Billing Schedule: $60.00 per month (or $600.00 prepaid annually).
- Service Frequency: Bi-monthly (once every two months; 6 regular applications per year).
- Scope: Complete exterior perimeter liquid protective barrier around the foundation, eaves, entry points, and yard areas.
- Interior Treatments: Interior treatments are excluded by default to maintain exterior-only pricing; available on request for an additional fee.
B. Townhome Protection Plan (Interior & Exterior)
- Billing Schedule: $30.00 per month (or $300.00 prepaid annually).
- Service Frequency: Bi-monthly (once every two months; 6 regular applications per year).
- Scope: Full interior baseboard, crack, and crevice treatment tailored to shared-wall townhome construction, plus exterior perimeter treatment.
C. Promotional / Route-Specific Plans
- Billing Schedule: $85.00 per month (or applicable promotional rate reflecting the offer received).
- Service Frequency: Bi-monthly service visits covering exterior perimeter, entry points, and eaves.
D. One-Time Inspection & Treatment Visit
- Billing Schedule: $89.00 one-time fee.
- Scope: Comprehensive interior and exterior diagnostic inspection, photo documentation, and written treatment recommendations; treatment as quoted.
E. Add-On & Specialized Services
- Scorpion Control & UV Blacklight Inspections: Targeted bark scorpion treatments with UV blacklight inspections.
- Pet Turf Sanitization & Odor Control: Specialized microbial turf wash and perimeter deodorizing.
- Convenience Add-Ons: Weed spraying, water softener salt refill, and HVAC air filter replacement, priced per the current published add-on rates.
3. Covered Pests & Exclusions
A. Pests Covered Under Standard Plans
Standard residential plans protect against:
- General household ants (excluding Carpenter Ants).
- Common spiders (including Black Widows, Wolf Spiders, and Cellar Spiders).
- Desert Bark Scorpions and Striped Tail Scorpions.
- American, Oriental, and German Cockroaches.
- Wasps, mud daubers, and paper wasps (reachable nests under 15 feet from ground level).
- Crickets, silverfish, earwigs, centipedes, millipedes, pillbugs, and sowbugs.
B. Specific Exclusions
Unless expressly added through a separate written rider or supplemental agreement, standard plans exclude:
- Wood-Destroying Organisms: Subterranean termites, drywood termites, powderpost beetles, and related damage.
- Parasitic Pests: Bed bugs (Cimex lectularius), fleas, brown dog ticks, and lice.
- Vertebrates & Wildlife: Mice, rats, bats, birds, pigeons, squirrels, raccoons, and other wildlife.
- Stinging Insects in Concealed Voids: Yellowjackets or honeybees nested inside enclosed wall or attic voids.
- Lawn/Ornamental Pests: Grubs, aphids, whiteflies, or agricultural foliage pests.
4. Re-Service Guarantee & Service Standards
A. The Vexa Re-Service Guarantee
For Customers enrolled in an active, recurring Bi-Monthly or Monthly maintenance plan, Vexa will return between scheduled visits at no additional charge to treat covered pest activity.
B. Guarantee Qualifications & Limitations
- Biological Realities of Desert Pests: Treatments create a chemical and physical barrier that degrades over time; eliminating every pest in desert conditions is not always possible.
- Scorpion Suppression Standard: Because desert bark scorpions travel across property lines, suppression — not total elimination — is the industry standard of performance.
- Property Condition Requirements: The re-service guarantee is conditioned upon the Customer maintaining the property in a serviceable condition and following technician recommendations.
5. Billing, Recurring Payments & Auto-Renewal
A. Automatic Billing Authorization
By enrolling in a recurring service plan and providing payment information, you authorize Vexa to charge your payment method automatically for each billing period until you cancel.
B. Payment Timing & Failed Charges
- Recurring subscription charges are processed on the monthly or annual anniversary date of enrollment.
- If an automatic transaction fails (due to card expiration, insufficient funds, or bank decline), Vexa will retry the charge and may suspend service until the balance is paid.
- Balances past due beyond 30 days are subject to a late administrative fee of 1.5% per month.
C. Automatic Renewal Disclosures (Utah HB 174 & Utah Code Ann. § 13-26a Compliance)
- Month-to-Month Subscription Plans: Unless specifically contracted under a fixed term, plans renew automatically each month and continue until cancelled. There are no long-term contracts, and you may cancel at any time.
- Annual Prepaid Plans: Annual plans operate for an initial term of twelve (12) consecutive months, are prepaid upfront and non-cancelable, and renew only with your express consent.
6. Cancellation & Termination Policy
A. Statutory 3-Day Cooling-Off Cancellation
As set forth in the statutory header above, if this Agreement was solicited via door-to-door, telephone, mail, or other direct solicitation, you may cancel within three business days of the transaction for a full refund by providing written notice.
B. Month-to-Month Cancellation
Customers enrolled in month-to-month plans without a promotional term commitment may cancel at any time by providing notice via:

Cancellation takes effect thirty (30) days after we receive your notice. This 30-day window allows us to remove your property from our service route and ensure you are taken care of through your final visit. Because of this, one final billing charge will occur during the 30-day period, and your regular service continues through that final billing cycle. No further charges will be made after the effective cancellation date.
C. Promotional Discounts & Early Termination
If Customer received a significantly discounted or waived initial service fee (e.g., a promotional offer) and cancels before completing the promotional period, the standard value of services already rendered may be charged.
7. Access, Safety & Customer Responsibilities
A. Property Access
Customer agrees to provide Vexa technicians safe and unobstructed access to the exterior areas to be treated, including gates, yards, and, for interior service, the interior areas specified in the plan.
B. Pesticide Safety, EPA Labeling & Re-Entry Intervals
- All pesticide applications are performed in strict compliance with the Federal Insecticide, Fungicide, and Rodenticide Act (FIFRA) and product labeling.
- Safe Once Dry Re-Entry Notice: Under EPA label standards and state guidelines, treated areas are safe for people and pets once dry — typically 30–60 minutes after application.
- Fish ponds, bird baths, animal feed dishes, and pet toys should be removed or covered before service.
- Customer agrees to notify Vexa in advance of any sensitive individuals, pregnant occupants, or pets with special considerations at the property.
C. Pre- and Post-Application Notifications
Pursuant to Utah Admin. Code R68-7-16(4), Vexa will provide a written service record after each application, including:
- Business name and state license number (#4000-000023777).
- Applicator name and state license number (#4001-000023778).
- Date, time, and target pests treated.
- Product brand names, EPA registration numbers, active ingredients, and application details.
- Emergency contact and re-entry precautions.
8. Limitation of Liability & Property Damage Disclaimers
A. Consequential & Incidental Damages
To the maximum extent permitted under Utah law, Vexa, Mike Moore LLC, its members, managers, employees, and agents shall not be liable for consequential, incidental, indirect, or punitive damages arising out of or related to services performed under this Agreement.
B. Pre-Existing Infestations & Concealed Structural Damage
Vexa is not responsible for repairing pre-existing structural damage caused by wood-destroying organisms, rodents, or other excluded pests existing before or developing outside the scope of covered services.
C. Interior Staining & Landscaping
Vexa utilizes water-based, non-staining formulations approved for residential applications; Vexa is not responsible for damage to unsealed, delicate, or improperly maintained surfaces or landscaping.
D. Liability Cap
Except for direct personal injury caused solely by the gross negligence or willful misconduct of Vexa, Vexa’s total liability under this Agreement is limited to the fees paid by the Customer in the twelve (12) months preceding the claim.
9. Governing Law, Jurisdiction & Dispute Resolution
A. Governing Law
This Agreement, and all matters arising out of or relating to service delivery and payment, shall be governed by the laws of the State of Utah.
B. Informal Resolution & Mandatory Mediation
Before initiating formal legal proceedings, the parties agree to make a good-faith attempt to informally resolve any dispute arising under this Agreement.
C. Venue & Small Claims Jurisdiction
Any legal action, suit, or proceeding arising under this Agreement that cannot be resolved informally shall be brought in the state courts of Washington County, Utah, or, where permitted, small claims court.
10. Severability, Modifications & Entire Agreement
- Entire Agreement: This Agreement, together with the specific service plan, pricing schedule, and any written service proposals, constitutes the entire agreement between the parties.
- Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect.
- Amendments: Vexa reserves the right to modify these Terms and Conditions upon notice to the Customer; continued service after notice constitutes acceptance.
